Clubly Event Organizer Terms

Last Modified: October 21, 2026 · Effective: November 3, 2026 · Version 1.0

Relationship to the General Terms

These terms supplement the Clubly Terms of Use and form an agreement with Clubly LLC, a New York limited liability company. Please read both documents before accepting these terms or using the applicable services after these terms are presented to you. You must be at least 18 and have authority to bind any entity you represent.

These terms control conflicts only for their specific subject matter. The general Terms continue to apply, including their governing-law, arbitration, liability, indemnification and nonwaivable-rights provisions. The Refund Policy governs attendee refunds. Neither these terms nor an event offer overrides applicable law or Clubly’s own legal duties.

Changes are prospective, with notice and renewed acceptance where required. Changes do not retroactively remove existing purchase rights or commissions already earned under accepted terms. Acceptance does not constitute optional marketing, analytics or electronic tax-statement consent.

Organizer Responsibilities and Compliance

Event organizers, venues, promoters, and other business users of the Platform are solely responsible for the creation, promotion, operation, and administration of their events and related services offered through the Platform. Without limiting the foregoing, organizers are responsible for ensuring compliance with all applicable laws, regulations, licensing requirements, permitting requirements, consumer protection obligations, alcohol service rules, age verification requirements, accessibility requirements, tax obligations, advertising requirements, and venue-related operational rules applicable to their events or services.

Organizers are solely responsible for the accuracy and completeness of event listings, ticket tiers, reservation terms, pricing disclosures, refund policies, entry requirements, eligibility restrictions, and event-related representations made available through the Platform. Organizers must ensure that all information presented to attendees is truthful, lawful, and not misleading.

Organizers are responsible for obtaining and maintaining all necessary insurance coverage, permissions, performer agreements, venue approvals, staffing arrangements, security measures, and operational resources necessary to conduct their events safely and lawfully. Clubly does not supervise or control organizer operations and assumes no responsibility for event execution or compliance.

Organizers further agree that they will not use the Platform in a manner that violates applicable law, infringes the rights of any third party, or creates regulatory, reputational, operational, fraud-related, or payment-network risk for the Company. Clubly reserves the right to suspend, restrict, remove, or terminate organizer access to the Platform where reasonably necessary to address compliance concerns or protect the integrity of the Platform.

Ticket Prices and Mandatory Charges

Organizers must disclose accurate prices and mandatory charges before listing tickets. Displayed ticket totals must include mandatory fees that can be calculated at that stage, including required platform, venue and unavoidable payment charges. For New York ticket sales, the total and required fee disclosures must appear before a ticket is selected. A fee cannot be excluded merely because it is called a gratuity, service charge or processing charge.

Taxes, physical delivery charges and genuinely optional additions may be disclosed separately only where law permits. Their nature, purpose and amount, and the final amount due, must be disclosed before payment is requested. Itemized components must not overshadow the total. Selected ticket prices must not increase during purchase except as permitted by applicable law. These responsibilities do not limit Clubly’s own pricing obligations.

Payment Provider and Account Information

If you use Stripe Connect services through Clubly, you must accept the applicable Stripe Connected Account Agreement, which incorporates the Stripe Services Agreement. Other payment arrangements remain subject to the provider agreements applicable to those arrangements.

You authorize Clubly to provide Stripe with information about you and your Platform transactions as reasonably necessary to provide payment services, verify your account, prevent fraud and satisfy applicable reporting requirements, as described in the Privacy Policy. Information you provide must be accurate and kept current.

Refunds, Disputes and Payouts

You must honor the refund terms disclosed before purchase, the Clubly Refund Policy and applicable law. You authorize refunds and related adjustments through supported payment arrangements where required by those obligations. A no-refund setting does not eliminate required refunds.

Clubly reserves the right to delay, hold, or withhold organizer payouts where reasonably necessary to investigate suspected fraud, policy violations, chargebacks, negative balances, or other risk related activity affecting the Platform.

Organizers are responsible for their event transactions and for cooperating with disputes under their payment-provider agreements. Clubly may collect records and provide dispute tools. Organizers must verify evidence before submission and must not assert delivery, acceptance, attendance or refund ineligibility without supporting records. Nothing in these Terms limits lawful payment-dispute rights. Suspected fraud or abuse will be assessed separately from the mere exercise of those rights.

Organizer Data, Guest Lists, and Team Access

Organizers must have authority to import guest information, provide required notices and obtain any required consent. Guest lists, staff access and exports may be used only for lawful event administration, fulfillment, support and specifically authorized purposes. Access to contact information does not grant marketing consent.

Organizers must secure exported data, limit staff access, honor applicable privacy requests and delete information when no longer needed, subject to lawful retention. They must not sell or rent attendee lists, use another organizer’s audience, or disclose information for unrelated purposes. Suspected unauthorized access must be reported promptly to Clubly.

Organizers are responsible for the staff they authorize and must remove access when it is no longer needed. Do not upload unnecessary identity documents, payment credentials, health details or information about children under 18. Collect only the minimum information needed for an accommodation request.

Organizer Messaging

Attendee contact information, a ticket purchase or a guest-list entry does not itself authorize promotional messages. Obtain any required separate marketing consent identifying the sender, retain evidence, identify your organization in messages and promptly honor opt-outs. Use event-service messages only for their stated service purpose and comply with applicable law and payment or messaging-provider rules.

You are responsible for lawful use of exports and third-party messaging tools. Do not sell, rent or transfer SMS opt-in records as permission for an unrelated sender to market. Notify Clubly promptly of opt-outs affecting Platform delivery and do not send further marketing to those recipients.

Organizer-Funded Commissions

The organizer funds promoter commissions from its event ticket-sale proceeds. Clubly facilitates distribution through the Platform’s payment arrangements; the commissions are an organizer obligation, not a separate reward funded by Clubly.

Before a promoter accepts an offer, the organizer must disclose the commission rate, qualifying transactions, calculation basis, treatment of discounts, refunds, cancellations and chargebacks, attribution rules, payment timing and the process for disputing calculations. Do not advertise guaranteed payment dates or amounts that the offer and available payment arrangements do not support.

The organizer authorizes deductions of commissions payable under accepted offers from its event proceeds and their distribution to the relevant promoters through supported payment arrangements. The organizer remains responsible for commissions owed under those offers if proceeds are insufficient. Changing or ending an offer must not retroactively reduce commissions already earned, subject to the disclosed adjustment rules and applicable law.

Reports and Analytics

Analytics and referral reports may be delayed, adjusted or incomplete. Attribution, gross sales, fees, refunds and available payouts are different measures. Reconcile reports with transaction and payment-provider records before relying on them for payment or accounting.

Hidden-Location Events and In-Person Sales

Where hidden-location events are offered, the organizer must disclose that the venue is not yet available, the promised release time and applicable purchase and refund conditions before sale. The organizer remains responsible for a lawful, usable venue and timely location delivery. Hiding an address does not hide public event descriptions or promotional materials.

Clubly may pause sales, restrict payouts or make refunds available when location obligations are not met. Location release does not by itself eliminate refund rights. Any permitted event-specific cutoff must be disclosed before purchase and remains subject to the Refund Policy and applicable law. Contact support if the location is not delivered or you cannot access an available refund.

For in-person and tap-to-pay sales, organizers must show the total charge, admission conditions and refund policy before payment and provide available ticket or receipt delivery options. Payment does not waive age, safety or other lawful entry requirements.

Event Taxes

Organizers are responsible for taxes arising from their event operations and transactions to the extent imposed on them by law. Clubly and payment providers may have separate collection, reporting or withholding duties that are not transferred by these Terms. Unless expressly provided through the Platform or a separate agreement, organizers must not assume Clubly calculates or remits their event taxes. Organizers agree to indemnify Clubly for losses arising from their breach of their own tax obligations, to the extent permitted by law.

Tax Information and Tax Forms

Accurate information. You must provide and keep current the legal name, address, taxpayer identification number and certifications reasonably required for verification and tax reporting through the designated secure collection process. Do not send tax identification numbers through ordinary support email.

Verification and withholding. Clubly or its payment provider, as applicable, may restrict or delay payouts while required information is missing or verification is incomplete, to the extent permitted by law and the applicable payment arrangements. Amounts may be withheld and remitted where required by law.

Form 1099-K. Where required by applicable law, Clubly uses Stripe to file Form 1099-K with the applicable tax authorities and furnish copies to eligible organizers and promoters for reportable Platform transactions. Reportable amounts are determined under tax rules and may differ from net payouts. Any different or additional reporting required by law remains applicable.

Your tax returns. Clubly’s information reporting does not include preparing or filing your personal or business income tax returns or determining your tax liability. You remain responsible for your own tax returns, income and expense reporting, and taxes you owe. Receiving no information form does not by itself mean income is tax-free. Clubly does not provide tax advice.

Electronic delivery. Tax statements may be furnished electronically after you provide any consent required by law through the designated delivery process. That process will describe the scope of consent, access requirements, withdrawal and paper-copy options. Accepting these Terms alone does not provide electronic tax-statement consent; paper statements will be provided when required by law.

Questions and corrections. Review your tax information and statements promptly. Contact [email protected] about missing or incorrect Platform tax statements, and consult your own tax adviser about reporting obligations.
